Club rules and regulations
Name
1. The name of the club shall be Mount Eden Tennis Club Incorporated
Definitions
2. In these rules, Club shall mean Mt Eden Tennis Club Incorporated. Member means a member of the Club.
Objects
3. The objects for which the Club is established are:
- To provide facilities for playing the game of tennis and
- To encourage and promote the game of tennis, particularly amongst juniors.
- To invest and deal with the funds of the Club not immediately required upon such securities and in such a manner as may be determined in accordance with these rules.
- To provide, maintain and control suitable grounds and premises for the above purpose.
- To do all such other lawful things as are incidental or conducive to the above objects
Constitution
4. The Club shall consist of a number of persons, being not less than 15, comprising Senior members, Student members, Junior members, Mid-Week members, Veteran members and Life members, of whom, all but Junior members may speak or vote at meetings of the Club and be eligible for election to any Office or Committee of the Club. Life Memberships may only be put forward for, and voted on at the Club Annual General Meeting.
Subscriptions
5. Membership of the club is by annual subscription. Annual membership fees shall be due and payable at the start of each season, which runs from 1st September to 31st August. The rate of annual subscription for each class of membership shall remain in force until altered at the relevant annual general meeting. These should reasonably reflect the annual costs and anticipated costs of running the Club. The club may also levy each member for any particular purpose, including for building or court maintenance and/or improvements. Membership ceases on non payment of subscription or by written resignation.
Control of Members
6. Any member who has infringed any of the Rules or whose conduct, in the opinion of the general committee, is objectionable, may be suspended from the club by written notice handed personally to the member or sent to the member's last known address. Any appeal by that member must be in writing and must be received by the club secretary within seven days of the giving of such notice, and shall be dealt with by the general committee at a special committee meeting. The suspended member shall not be entitled to address the special committee meeting. If the finding is not reversed the suspended member will cease to be a member from the time of suspension. The finding of the special committee meeting shall be final.
Annual General Meeting
7.The Club shall hold an Annual General Meeting in July in every year, of which 14 days notice shall be given. From this time, copies of the Treasurers Report and notices of motion shall be available.
An audited set of Club accounts shall be presented along with a report from the Club President.
Special General Meeting
8. The Secretary can call a Special General Meeting as is thought fit and must call a meeting within 7 days of receiving a requisition signed by 3 Committee members or 10 members. A notice calling the meeting and stating the nature of the business shall be sent to each member at least 7 days before the date of the meeting.
Notices
9. Notices to members shall be by way of email or post.
Privacy
10. Members name and phone numbers will be available to all Club members unless written denial of permission is received by the Club Secretary.
Officers
11. At every Annual General Meeting of the Club the following Officers and Committee shall be elected from the Club members:
A President, a Secretary, a Treasurer, a Club Captain (to arrange Club events),
Auckland Tennis Delegate, Interclub Coordinator (one Junior, one Senior, and one Mid-week), Property Manager and up to 12 general Committee members.
The Club must also appoint an Auditor and may elect a Patron, neither of whom need be a member of the Club.12. The Club shall be managed by the Officers and the Committee (together called the general committee), of which half the committee, with a minimum of 4 persons shall form a quorum.
13. The Committee may appoint sub-Committees as it sees fit.
Removal of Officers
14. Any member of any such Committee or the Auditor, may be removed from his office or position by a vote of the majority of those at a Special Committee Meeting providing 14 days notice of such a meeting is given.
Method of Voting
15. Any question submitted at a meeting shall first be decided by a show of hands, but a written vote may be demanded by the President or Chair. In the event of an equality of votes the President or Chair shall have a casting vote in addition to a deliberative vote.
Powers of Officers and Committee (General Committee)
16. The general Committee shall convene the Annual General Meetings of the Club, transact the routine business and affairs of the Club, control its finances and investments, open up, keep and control any bank accounts and may make rules binding members in any matters not dealt with by these rules, but shall obey the directions of the Annual General Meeting. The Committee may appoint 3 of its members to sign and endorse cheques and may authorise its banks to pay cheques and bills signed by any 2 of such three persons.
The Committee shall maintain the Pavilion, tennis courts and leased area in a reasonable manner to ensure the safety of members.
The committee shall have the power to employ any person or to contract with any person to further the objects of the club.
Borrowing Powers
17. The Club shall have the power to borrow money on such terms and conditions as the committee shall think fit.
No Pecuniary Gain
18.1 Nothing expressed or implied in these Rules shall permit the activities of the Club to be carried on for the personal pecuniary profit of any member or individual. The income and property of the Club from whatever source derived shall be applied solely towards the promotion of the objects of the Club, and no portion of the Club funds shall be paid out indirectly by way of dividends, bonus or otherwise, to any member of the Club. Except as provided in clauses 18.2, 18.3, and 18.4 below no member of the Club shall receive any monies from the Club.
18.2 Subject to clause 18.3 no member of the Club, or person associated with a Club member, shall derive any income, benefit or advantage from the Club where they can materially influence the payment of the income, benefit or advantage, except where that income, benefit or advantage is derived from professional or other specialist services to the Club rendered in the course of business and charged at no greater than current market rates.
18.3 Notwithstanding the above provisions of this clause, duly elected officers and committee members of the Club, and any appointee including the Clubs auditor, shall by direction of the General Committee be entitled to a refund of expenses incurred on behalf of the Club. Office holders may be given an honorarium. The level of any such gratuities to any office holder shall be determined by resolution at an annual general meeting of the Club. The General Committee may in its total discretion resolve from time to time to pay any other person including a member, reasonable remuneration for any services rendered to the Club.
18.4 Notwithstanding the foregoing provisions, the Club may give prizes of cash or goods to any member who has competed in Club or inter-club competitions. The Club may also provide food and drink for members and invited guests at any function held by the Club.
Dissolution
19. Upon the dissolution of the Club or in its winding up by the Registrar, a majority of members at a special meeting convened for the purpose, shall resolve to direct the method of disposal of the surplus assets of the Club after payment of all costs, liabilities and debts in a manner calculated to encourage the playing of tennis in the local area. No such resolution shall authorise the distribution of the Clubs surplus assets amongst the members of the Club.
Alteration of Rules
20. These Rules may be altered at an annual general meeting or a special general meeting provided notice of motion to that effect has been given to all members at least seven days prior to the meeting. Any such motion shall only be passed by a majority of two-thirds or more of those attending such a meeting. Notwithstanding the foregoing provisions, in no circumstances shall Rule 18 (No Pecuniary Gain) and Rule 19 (Dissolution) or this Rule (Alteration of Rules) be altered without the prior written consent to such alteration by the Inland Revenue Department.
Interclub
21. Rules governing play shall be those adopted by Auckland Tennis. Balls, if provided free of charge, remain the property of the Club.
Visitors
22. Members may bring their friends to play no more than twice in any one season and must pay the requested fees.
23. Anything not provided for in these rules shall be left to the discretion of the Committee.
Common Seal
24. The mode of witnessing documents requiring the seal of the Club shall be by the signature of the President and Secretary or in the absence of either of them, of any 2 officers of the committee. The seal may be altered or removed only by resolution of a general meeting of the club.
